FIA responds to CSRC CP on the 2026 draft measures for the supervision and administration of futures companies

FIA has responded to the China Securities Regulatory Commission's consultation paper on the 2026 Draft Measures for the Supervision and Administration of Futures Companies.

The response supports the CSRC’s objective of strengthening supervision and implementing the PRC Futures and Derivatives Law, while recommending that the framework remain proportionate and workable for foreign-invested futures companies and international financial groups.

In particular, FIA highlights practical and legal difficulties for overseas listed shareholders and actual controllers in complying with prior approval, reporting and disclosure obligations, especially where changes arise from public market trading or foreign legal restrictions.

FIA therefore recommends that certain requirements be recalibrated, including allowing after-the-fact filing for changes in the actual controller of overseas listed shareholders, limiting reporting obligations to events with a material impact on the PRC futures company and coordinating inspections of overseas entities through existing cross-border supervisory mechanisms.
